NOTICE IS HEREBY GIVEN of a public hearing to be held on Monday, April 13, 2015, by a representative of the Arkansas Development Finance Authority (the “Issuer”), at 6:00 p.m., at the Osceola School District Administrative Offices, 2750 West Semmes, Osceola, Arkansas, with respect to the hereinabove captioned bonds (the “Bonds”), in a principal amount not to exceed two million seven hundred fifty thousand dollars ($2,750,000), to be issued by the Issuer in one or more series pursuant to Arkansas Code Annotated sec.sec.15-5-101 et seq. for the purpose of providing financing for the acquisition, construction and installation of capital improvements in the form of energy conservation measures at numerous Osceola School District (“District”) facilities and other capital improvements to District facilities (the “Project”), for the payment of necessary expenses incidental to the sale and issuance of the Bonds, and for the funding of a reserve in connection with the Bonds, if needed. After the issuance of the Bonds, the Issuer will lease all of the Project to the District pursuant to a Lease Purchase Agreement that will grant a security interest in the Project to the Authority.
The Bonds will be issued pursuant to a Trust Indenture entered into between the Issuer and a trustee yet to be determined, and will be secured thereunder by payments made by the District as payments pursuant to the Lease Purchase Agreement, and by other pledged property and rights. At least one series of the Bonds is intended to be comprised of “qualified energy conservation bonds” pursuant to Section 54A of the Internal Revenue Code of 1986, as amended. The Bonds shall be obligations only of the Issuer, and in no event shall the Bonds constitute an indebtedness of the State of Arkansas (the “State”) or an indebtedness for which the faith and credit of the State or any of its revenues are pledged or an indebtedness secured by lien on or a security interest in any property of the State.
