NOTICE OF PUBLIC HEARING
Notice is hereby given that a public hearing will be held before a meeting of the City Council of the City of Sherwood, Arkansas (the "City") at 7:00 o'clock p.m., on the 25th day of January, 2016 at the regular meeting place of the Council, Council Chamber, City Hall, 2201 East Kiehl Avenue, Sherwood, Arkansas, 72120.
The Public Facilities Board of the City of Sherwood, Arkansas (the "Board") has outstanding its Capital Improvement Revenue Refunding and Improvement Bonds, Series 2010 (the "2010 Bonds"), which were issued to finance and refinance the costs of acquiring, constructing and equipping park and recreational improvements, which improvements are located at or near the properties commonly known as the North Hills Country Club (collectively, the "Improvements"). The City leases the Improvements from the Board pursuant to a Park and Recreational Facilities Lease Agreement (With Pledge of Revenues) dated as of March 1, 2010 (the "2010 Lease"), under which the City pays rental payments to the Board. Such rental payments are in an amount sufficient to pay debt service on the 2010 Bonds. Under the 2010 Lease, the City has pledged certain revenues as security for the rental payments, which revenues consist of the revenues derived by the City from franchise fees charged by the City for the operation of public utilities and cable communications within the City or the use by public utilities of City-owned properties, including, without limitation, those revenues received pursuant to arrangements with utilities (electric, gas, telephone and cable communications) operating within the City (collectively, the "Franchise Fees"). The Franchise Fees paid by the City as rental payments under the 2010 Lease are used to pay debt service on the 2010 Bonds.
The Board has determined that debt service savings may be recognized by refunding the 2010 Bonds (the "Refunding"). It is anticipated that the Refunding will be accomplished by the issuance by the Board of its Capital Improvement Refunding Revenue Bonds, Series 2016 (the "2016 Bonds"), in the maximum aggregate principal amount of $6,695,000. In connection with the issuance of the 2016 Bonds, the City will enter into a supplement to the 2010 Lease (collectively, the "2016 Lease") under which the City will pay rental payments to the Board. The City will use Franchise Fees to make such rental payments. Pursuant to the 2016 Lease, the City will pledge the Franchise Fees as security for the rental payments, and such Franchise Fees paid by the City as rental payments under the 2016 Lease will be used to pay debt service on the 2016 Bonds.
At the hearing, any persons interested may express their views on the Refunding, the proposed 2016 Bonds, the proposed 2016 Lease, and the proposed use and pledge of Franchise Fees pursuant to the 2016 Lease. At such hearing all objections and suggestions will be heard and considered, and the City Council will take such action as is deemed proper in the premises.
